Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using the AlgoriTrader website, software, Expert Advisors (EAs), indicators, trade journal, or any related services (collectively, "the Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Risk Disclosure. If you do not agree to all of these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement. You are responsible for ensuring that your use of the Service complies with all laws, regulations, and rules applicable to you in your jurisdiction.

3. Description of Service

AlgoriTrader provides software tools for algorithmic trading on the MetaTrader 4 and MetaTrader 5 platforms, including but not limited to Expert Advisors (EAs), custom indicators, a trade journal with analytics, and related educational content. The Service is provided on a subscription basis with multiple tiers offering varying levels of access.

AlgoriTrader is a software provider only. We do not act as a broker, financial advisor, investment manager, or fiduciary. We do not execute trades on your behalf, hold client funds, or provide personalized investment advice.

4. Account Registration and Security

To access certain features, you must create an account by providing accurate, current, and complete information. You agree to:

• Provide truthful registration information
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Immediately notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain false information, are used fraudulently, or violate these Terms.

5. Subscription, Billing, and Cancellation

Billing: Paid subscriptions are billed in advance on a recurring basis (monthly or yearly) at the rate displayed at the time of purchase. All prices are listed in US Dollars (USD) unless otherwise stated.

Automatic renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You authorize us to charge your designated payment method for recurring fees.

Cancellation: You may cancel your subscription at any time from your dashboard. Upon cancellation, you retain access to your paid features until the end of the current billing period, after which your account reverts to the free tier.

Refunds: Due to the digital nature of the software, all purchases are final. Refunds are not provided except where required by applicable consumer protection law or at our sole discretion on a case-by-case basis.

Price changes: We reserve the right to modify pricing at any time. Any price change will take effect at the start of the next billing cycle following notice to you.

6. License and Intellectual Property

Subject to your compliance with these Terms and an active subscription, AlgoriTrader grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download and use the software products (EAs, indicators) included in your subscription tier
• Use the software on the number of MetaTrader accounts permitted by your tier
• Use the trade journal and analytics features available in your tier

You may not:

• Redistribute, resell, sublicense, rent, lease, or share your account or any software products with third parties
• Reverse-engineer, decompile, disassemble, or attempt to derive source code from any compiled software (.ex5, .ex4 files)
• Modify, adapt, or create derivative works based on the software
• Remove, alter, or obscure any copyright, trademark, or proprietary notices
• Use the software for any unlawful purpose or in violation of any applicable regulations
• Circumvent, disable, or interfere with any security or authentication mechanisms
• Share your login credentials with others or allow multiple individuals to use a single account

All intellectual property rights in the Service, including software, code, algorithms, designs, text, graphics, logos, and trademarks, remain the exclusive property of AlgoriTrader.

7. No Financial Advice

The Service does not constitute financial advice, investment advice, trading advice, or any other type of professional advice. Nothing on this website or in our software should be construed as a recommendation to buy, sell, or hold any financial instrument.

You acknowledge that:

• All trading decisions are made solely by you at your own risk
• Past performance of any EA, indicator, or trading strategy is not indicative of future results
• You should consult with a qualified, licensed financial advisor before making any investment decisions
• AlgoriTrader does not monitor, recommend, or endorse any particular broker, financial instrument, or trading strategy

8. Risk Acknowledgment

By using the Service, you expressly acknowledge and agree that:

• Trading foreign exchange, CFDs, and other leveraged instruments carries a high level of risk and may not be suitable for all investors
• You could sustain a loss of some or all of your invested capital and should not invest money you cannot afford to lose
• Automated trading systems (EAs) are subject to technical risks including software errors, connectivity failures, broker execution issues, market gaps, slippage, and unexpected volatility
• AlgoriTrader makes no guarantees regarding trading performance, profits, or the accuracy of any signals or analytics
• You are solely responsible for your own trading results

9. Consultation Services

Custom EA development consultations are subject to the following terms:

• Consultations are non-refundable and non-cancelable once booked and paid
• Each consultation may be rescheduled once at no additional charge, subject to availability
• A consultation is a discussion about your trading strategy and its technical feasibility — it does not guarantee that a custom EA will be built
• Any custom EA development that results from a consultation will be subject to a separate agreement and pricing
• AlgoriTrader retains all intellectual property rights to any custom-developed software unless explicitly agreed otherwise in writing

10. Data and Privacy

Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

If you use the Trade Journal, your trading data (account numbers, trade history, balances) is transmitted to and stored on our servers. While we implement reasonable security measures to protect your data, you acknowledge that no system is completely secure and use the Journal at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted service
• AlgoriTrader, its officers, directors, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service
• This includes but is not limited to: trading losses, lost profits, lost data, service interruptions, software errors, security breaches, or any damages resulting from unauthorized access to your account
• In no event shall our total aggregate liability exceed the amount you have paid to AlgoriTrader in the twelve (12) months preceding the event giving rise to the claim

12. Indemnification

You agree to indemnify, defend, and hold harmless AlgoriTrader, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Service
• Your trading activities and decisions
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights

13. Service Availability and Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We do not guarantee that the Service will be available at all times. Service may be interrupted for maintenance, updates, or circumstances beyond our control.

14. Account Termination

We may suspend or terminate your account at our sole discretion, without prior notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise inappropriate. Grounds for termination include but are not limited to:

• Sharing, reselling, or redistributing software products
• Attempting to reverse-engineer or circumvent licensing mechanisms
• Providing false registration information
• Engaging in abusive, fraudulent, or illegal activity
• Violating the intellectual property rights of AlgoriTrader or any third party

Upon termination, your license to use the software is immediately revoked. You may request deletion of your account data by contacting us.

15. Third-Party Services

The Service may integrate with or require the use of third-party services (e.g., MetaTrader platforms, payment processors, email providers, brokers). AlgoriTrader is not responsible for the availability, reliability, or actions of any third-party service. Your use of third-party services is subject to their respective terms and conditions.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AlgoriTrader is incorporated, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If a resolution cannot be reached within thirty (30) days, the dispute shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration authority in our jurisdiction.

You agree that any claim or cause of action arising out of or related to the Service must be filed within one (1) year after the cause of action arose, or it shall be permanently barred.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and Risk Disclosure, constitute the entire agreement between you and AlgoriTrader regarding the use of the Service and supersede all prior agreements, understandings, and representations.

19. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

20. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of AlgoriTrader.
